User agreement

1. Agreement and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you and San Ser Corporation Limited ("we", "us", "our"), a company incorporated in Hong Kong and having its registered office at Room 1007, 10/F, Sterling Centre, 11 Cheung Yue Street, Lai Chi Kok, Hong Kong.

By accessing or using this website, our services, or by creating an account, you acknowledge that you have read, understood and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use this website or our services.

We reserve the right to amend these Terms at any time. Amendments will be effective upon posting on this page. Continued use of the website after changes constitutes acceptance. Where required by law (including the Control of Exemption Clauses Ordinance, Cap. 71), we will draw material changes to your attention. We recommend that you review this page periodically.

2. Eligibility and Account

You must be at least 18 years of age and have legal capacity to enter into a contract under the laws of Hong Kong (or the laws of your jurisdiction) to use our services. By using this website, you represent and warrant that you meet these requirements.

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us promptly of any unauthorised use. We are not liable for losses arising from unauthorised use where you have failed to keep your details secure, save where such exclusion is not permitted by the Control of Exemption Clauses Ordinance (Cap. 71) or other applicable law.

3. Products, Descriptions and Pricing

We strive for accuracy in product descriptions, images, specifications and pricing. We do not warrant that product descriptions, imagery or other content are error-free, complete or current. We reserve the right to correct inaccuracies and to change or discontinue products at any time without liability, save in respect of orders already accepted by us.

All prices are displayed in Hong Kong Dollars (HKD) unless otherwise stated. Prices are inclusive of applicable taxes (including goods and services tax, if any) unless otherwise indicated. We reserve the right to adjust prices; such changes do not affect orders already confirmed by us in writing (including by electronic means).

Product availability is subject to change. We will use reasonable efforts to inform you if an ordered item becomes unavailable after you have placed an order.

4. Orders, Payment and Formation of Contract

Submission of an order constitutes an offer by you. A contract is formed only when we send you written (including electronic) confirmation of acceptance of the order. We may refuse or cancel orders at our discretion, including for suspected fraud, pricing errors, stock unavailability, or where we are otherwise unable to fulfil the order.

Payment must be made through our designated channels and in the currency and manner we specify. You represent that you are authorised to use the chosen payment method. We may use third-party payment processors; your use of those services may be subject to their terms.

For the purposes of the Electronic Transactions Ordinance, Cap. 553 of the Laws of Hong Kong, and where applicable, we may retain records of transactions as required by law. Electronic records and signatures are recognised to the extent permitted by that Ordinance.

5. Delivery and Risk

Delivery terms (timeframes, costs, territories) will be as set out at checkout or in our published policies. We are not responsible for delays caused by events outside our reasonable control (including courier delays, customs, force majeure, or government action).

Risk in the goods passes to you upon delivery to the address you provided (or to a carrier where we agree). Ownership passes when we have received full payment in cleared funds. Where you are a consumer within the meaning of the Sale of Goods Ordinance (Cap. 26), the statutory implied terms as to title remain applicable.

6. Returns, Exchanges and Refunds

Unworn, unaltered items in original condition may be returned or exchanged within 7 days of delivery, subject to our returns policy in effect at the time of your purchase. Custom-made, engraved, resized or personalised items cannot be returned unless faulty or not as described.

To initiate a return or exchange, you must contact us and comply with our instructed process. Refunds will be made using the original payment method where possible, within a reasonable time after we receive and inspect the returned item. We may deduct costs (e.g. return shipping) where permitted by our policy or by law.

Nothing in these Terms affects your statutory rights as a consumer. Where you are a "consumer" within the meaning of the Sale of Goods Ordinance (Cap. 26) or the Control of Exemption Clauses Ordinance (Cap. 71), your rights under those Ordinances (including in relation to satisfactory quality, fitness for purpose, correspondence with description, and the unenforceability of unreasonable exemption clauses) cannot be excluded or restricted by these Terms. You may also have recourse to the Consumer Council of Hong Kong for advice and assistance in respect of consumer disputes.

7. Intellectual Property

All content on this website (including text, images, logos, trademarks, design and layout) is the property of San Ser Corporation Limited (trading as SANSER) or its licensors and is protected by the laws of Hong Kong (including the Copyright Ordinance, Cap. 528, and the Trade Marks Ordinance, Cap. 559) and international intellectual property laws. You may not copy, reproduce, distribute, modify or create derivative works without our prior written consent. Limited use for personal, non-commercial purposes (e.g. viewing, sharing links) is acceptable. Our name and marks must not be used in a way that suggests endorsement or affiliation without our permission.

8. Prohibited Conduct

You must not use this website or our services: (a) in breach of any applicable law in Hong Kong or your jurisdiction; (b) to harm, abuse or harass others; (c) to upload malware or interfere with the website or systems; (d) to impersonate any person or entity; (e) to collect or harvest data without consent in breach of the Personal Data (Privacy) Ordinance (Cap. 486); or (f) for any fraudulent or illegal purpose. We may suspend or terminate access and report activity to the relevant authorities where appropriate.

9. Disclaimers and Limitation of Liability

This website and our services are provided "as is". To the fullest extent permitted by the laws of Hong Kong, we disclaim all warranties (express or implied) including merchantability and fitness for a particular purpose, except where such disclaimer is not permitted by law (including the Sale of Goods Ordinance (Cap. 26) in respect of consumer sales). We do not warrant uninterrupted or error-free operation.

Subject to the following paragraph, and to the maximum extent permitted by applicable law (including the Control of Exemption Clauses Ordinance, Cap. 71), we shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or goodwill, arising from your use or inability to use the website or our services, or from any products supplied. We do not exclude or limit our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation, or where such exclusion or limitation is not permitted by the Control of Exemption Clauses Ordinance (Cap. 71) or other applicable law. Where we are permitted to limit liability, any such limitation shall be subject to a reasonableness test under Cap. 71 where you are a consumer.

Our total liability in connection with any order or these Terms shall not exceed the amount you paid for the relevant product(s) in the twelve (12) months preceding the claim, except where a higher amount is required by law or where liability cannot be excluded. These limitations apply even if we have been advised of the possibility of such damage.

10. Indemnity

You agree to indemnify and hold harmless San Ser Corporation Limited, its directors, employees and agents from and against any claims, damages, losses and expenses (including reasonable legal fees) arising from your breach of these Terms, your use of the website or services, or your violation of any law or third-party rights. This indemnity shall not apply to the extent that the claim arises from our breach of these Terms or our negligence.

11. Governing Law and Disputes

These Terms are governed by the laws of the Hong Kong Special Administrative Region. Any dispute arising out of or in connection with these Terms or the website shall be subject to the exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region.

Before commencing legal proceedings, the parties agree to attempt to resolve disputes in good faith (e.g. by negotiation or mediation). If you are a consumer, you may have additional rights under the Sale of Goods Ordinance (Cap. 26), the Control of Exemption Clauses Ordinance (Cap. 71), the Unconscionable Contracts Ordinance (Cap. 458), or other applicable laws of Hong Kong, which we do not seek to exclude. The Consumer Council may provide information and conciliation in respect of consumer disputes.

12. General

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction in Hong Kong, the remaining provisions shall continue in full force and effect. Our failure to enforce any right does not constitute a waiver of that right. These Terms, together with the Privacy Policy and any policies we refer to, constitute the entire agreement between you and us regarding the website and services.

We may assign or transfer our rights and obligations under these Terms to any successor or affiliate. You may not assign your rights or obligations without our prior written consent.
